Important changes to Delaware DBA registrations
From June 2, 2025, the state of Delaware is changing its DBA (Doing Business As) name registration process following the enactment of House Bill No.40 on February 7, 2025.
If you’re a business owner currently operating under a Delaware DBA trade name, these changes will impact you. Starting June 2, all DBA names will become available on a first-come, first-served basis; therefore, it’s crucial you take appropriate action to secure your trade name.

What’s happening with the Delaware DBA process?
In a bid to streamline the entire DBA registration process, Delaware is replacing its existing framework with a statewide DBA trade name registration system, beginning June 2, 2025. Instead of registering a DBA at a county level, businesses will now have to make DBA filings online through the Delaware Division of Revenue’s online registration system, Delaware One Stop. Notarizations will no longer be required for applications, making it more convenient for businesses to register their trade names.
Existing business must re-register DBA names or risk losing them
Existing businesses are required to re-register a DBA in Delaware through the new online system starting June 2, 2025. This re-registration window closes on August 1, 2025, and is free of charge for active businesses (a $25 filing fee may be temporarily added to your account if you re-register during this period but will be cleared once the registration is confirmed.)
All trade names will be released immediately on June 2 and will therefore be available on a first-come, first-served basis. It is imperative that you re-register your DBA name as soon as possible to ensure you don’t lose the legal right to use it. If your trade name is taken by another business, you’ll likely face business disruption and need to select a new name.
Business license requirements
Only companies with active business licenses can register for a DBA in Delaware. You need to have the correct business license in place before registering a DBA name. For example, if you’re not actively carrying out business in the state but want exclusive rights to a certain name, you’ll need a Trade Name Only business license. To obtain a Trade Name Only business license, you’ll need to pay a $25 fee and provide a recent Certificate of Good Standing. This license must be renewed annually; otherwise, you can obtain a license for three years at a cost of $75.
Are DBA renewals in Delaware necessary?
Once you have re-registered or obtained your trade name, you don’t need to renew your DBA assuming you maintain an active business license. However, if your business license lapses for three years or more, your trade name will become available again in the State of Delaware and free for another company to use.
