Iowa Senate File 629: What it means for businesses filing with the Iowa Secretary of State

Iowa

Iowa Senate File 629 (IA SF629) introduces expanded expedited filing options for business documents submitted to the Iowa Secretary of State. Introduced in April 2025, the Senate passed the bill unanimously on April 14, 2026, moving it to the House for consideration. The bill builds on existing expedited services by adding new, faster turnaround options and formally setting the associated surcharges in statute.

For businesses that rely on timely entity filings, such as formations, amendments, mergers, or other statutory documents, SF629 provides greater flexibility when speed is critical.

What is Iowa Senate File 629?

SF629 amends Iowa Code section 9.15, which governs expedited filing services for business documents administered by the Secretary of State. The legislation authorizes the Secretary of State to offer multiple expedited processing options, allowing filers to choose how quickly their documents are processed based on business needs.

Under the bill, filers may request expedited service at the time a business document is submitted. In return, an additional surcharge is assessed based on the selected processing timeframe. The expedited service does not replace the standard filing fee; instead, the surcharge is added on top of the otherwise applicable filing cost.

Once an expedited filing has been completed, the Secretary of State is required to provide written confirmation to the filer.

Expedited filing options and surcharges

SF629 establishes four expedited service levels, giving filers a range of timeframe and cost options:

  • One-hour service – $200 surcharge

  • Same-day service – $125 surcharge

  • Two-day service – $50 surcharge

  • Five-day service – $15 surcharge

These surcharges apply per document and are assessed in addition to the standard statutory filing fees. The bill formalizes quicker options, such as one-hour and same-day processing, that were not previously specified in statute.

Who does the bill affect?

SF629 impacts anyone who files business documents with the Iowa Secretary of State, including:

  • Corporations

  • Limited liability companies (LLCs)

  • Partnerships and limited partnerships

  • Cooperative associations

  • Non-profit entities

The expedited service applies to documents governed by Iowa’s business organization statutes, meaning it is relevant to organizations at various stages of the entity lifecycle – from formation and qualification through structural changes and ongoing compliance filings.

For legal teams, compliance professionals, registered agents, and business owners managing time-sensitive transactions, the bill offers more predictable options when filings must be completed on a tight timeline.

How the funds are used

All surcharges collected through expedited filing services are deposited into Iowa’s business administration fund. By statute, this fund may be used solely for administering business organization laws.

This provision ensures that the additional fees paid by filers directly support the systems, processes, and staff responsible for business filings, rather than being diverted to unrelated state purposes.

How IA SF629 builds on existing law

IA SF629 expands on a provision originally enacted in 2021, which required the Secretary of State to provide enhanced services to business filers. While expedited filing was already available under that framework, this bill clearly defines:

  • Additional processing speed options

  • The specific surcharge amounts associated with each option

  • A written confirmation requirement once expedited filing is complete

By codifying these elements, the legislation brings greater clarity and consistency to Iowa’s expedited filing process.

What businesses should do now

For many organizations, the timing of a filing can have real downstream consequences, such as deal closings, financing events, regulatory deadlines, or expansion into new jurisdictions. SF629 gives filers more control over those timelines by allowing them to balance speed and cost based on the urgency of the situation.

Businesses that file documents with the Iowa Secretary of State should review where expedited processing may play a role in their filing strategy. Situations involving entity formations, restructuring activities, or time-sensitive transactions may benefit from the expanded range of expedited service options established under IA SF629. Understanding when faster processing is available, and how it fits into broader compliance and transaction planning, can help reduce delays and support smoother execution.
