Italy: Director PEC Address

The regulatory provision in Article 1, Paragraph 860, of Law No. 207 of December 30, 2024 (the “Law”) extended to directors of companies established in corporate form (i.e. S.r.l. and S.p.A.) the obligation to notify the Companies Register of their certified electronic mail address (“PEC”). , The obligation to have a certified electronic mail address before the aforementioned legislation, was limited only to Companies established in corporate form. Any Company that is to be established or should open a branch in Italy must have and report to the business registry a pec address.

As of January 1, 2025, the requirement to have a personal PEC address and report it to the business registry has been extended to directors of existing Companies and this disclosure must be made by June 30, 2025.

Key changes and requirements

PEC is a digital system that makes it possible to send and receive emails that have legal validity and can be equated, by law, with a registered letter with return receipt.

In Italy, PEC is mandatory for companies, registered professionals, and public administrations. The requirement to have a PEC ensures that official communications can take place in a secure and traceable manner.

The obligation extends to all directors, regardless of the form of the management body: this means that, in the case of a board of directors, each individual director will have to have his or her own PEC and report it to the Companies Register.
