Romania: Adoption of NACE Rev. 3 Classification
Romania has introduced a new classification of activities, NACE Rev. 3, effective from 1 January 2025. Government Decision No. 284/2025, published on 25 March 2025, makes the new classification binding for all Romanian legal entities and authorised professionals. All entities incorporated before 1 January 2025 must update their object of activity from NACE Rev. 2 to NACE Rev. 3. The transition period runs for 18 months from publication, with a legal deadline of 25 September 2026 to complete the update. Entities must complete the recodification earlier if they make certain corporate changes, including changes to their registered activities, name or registered office.
Key changes and requirements
The recodification is a mandatory process. Entities must file a standard application with the Trade Registry to obtain an updated list of activities under NACE Rev. 3. Many NACE Rev. 2 codes divide into multiple NACE Rev. 3 codes, so entities must review the resulting list to ensure that only activities they intend to perform remain in their object of activity.
If an entity needs to amend its object of activity, it must prepare and file a shareholders’ resolution approving the change, together with updated articles of association and declarations regarding activities carried out at the headquarters or other locations. Documents may be signed electronically if a qualified electronic signature is used. For filing purposes, Romanian‑language documents are required. Documents signed in another language must be submitted in notarised and apostilled originals with a legalised Romanian translation.
