Serbia's New UBO Reporting Requirements
Under Article 8 of the UBO Law, the update establishes clear standards for documentation format and certification, as well as submission procedures via the electronic filing system. By 1 December 2025, all Ultimate Beneficial Ownership (UBO) documentation must be submitted electronically to the Central Register, following the Serbian government’s enhanced requirements. This applies to all Serbian entities, which must:
• Maintain accurate and up-to-date beneficial ownership records with supporting documentation
• Submit all filings within prescribed timelines
• Ensure documents are properly certified and compliant with the new electronic process
Key changes and requirements
Registration Details
UBO registration must be completed via the Serbian Business Registers Agency portal and include:
• Domestic individuals: full name, unique citizen ID number, date, place, and country of birth, and country of residence
• Foreign individuals: full name, passport or foreign ID number and issuing country, foreigner’s registration number (if applicable), date, place, and country of birth, country of residence, and citizenship
Companies must also upload:
• Documents establishing UBO status
• A copy of the passport or foreign ID for foreign UBOs
• Dates of ownership acquisition and document entry
All submissions require the electronic signature of the company’s registered legal representative. Firms must verify UBO data annually via the online portal and retain supporting documentation for 10 years from the last update and archival records for five years after company termination, in line with regulatory requirements.
