Denmark: Sustainability Reporting Timing Update
On 16 December 2025, Denmark amended the Annual Financial Statements Act to change when enterprises must begin preparing sustainability reports.
Large enterprises in accounting class C must begin reporting for financial years starting on or after 1 January 2027, and the same applies to large, listed enterprises in accounting class D.
Small and medium‑sized listed enterprises in accounting class D will begin reporting later, for financial years starting on or after 1 January 2028.
These adjustments form part of an omnibus package designed to simplify sustainability reporting and defer implementation for certain enterprises.
Key changes and requirements
A small enterprise is one that does not exceed any two of the following thresholds for two consecutive financial years:
• DKK 55 million (approx. USD 7.5 million) in balance sheet total
• DKK 111 million (approx. USD 15.5 million) in revenue
• 50 employees on average
A medium‑sized enterprise must exceed the small‑enterprise thresholds but not exceed any two of the following for two consecutive financial years:
• DKK 195 million (approx. USD 27 million) in balance sheet total
• DKK 391 million (approx. USD 54.5 million) in revenue
• 250 employees on average
A large enterprise is any enterprise that does not fall within the definition of a small or medium‑sized enterprise.
No additional changes were introduced beyond the revised timing of the sustainability reporting requirement.
