Thailand: New Requirements for Incorporation and Registered Addresses
Thailand’s Ministry of Commerce has introduced new requirements for the incorporation of limited companies and for changes to registered addresses. These rules apply from 1 January 2026 and affect companies that have foreign directors or foreign shareholders, as well as companies using an address already registered by five or more entities. The authority now requests additional documentation to evidence the legitimacy of capital contributions and the right to use a registered address. Registrations that do not meet the new requirements will be rejected, although no penalties or fines apply.
Key changes and requirements
Incorporations
Companies incorporated with a foreign director or with foreign shareholders holding not more than 50% of total shares must provide bank statements for each Thai shareholder. The statements must be issued by a commercial bank and cover the three‑month period before the capital contribution. They must be taken from the account used for the payment and show withdrawals or transfers that match the contribution amount and payment date.
Registered address
Companies using a registered address that is already listed as the office of five or more entities must provide a letter of consent from the person authorised to allow the use of the premises. They must also submit supporting evidence of the right to use the address, such as a land title deed or lease agreement. This requirement applies both to newly incorporated companies and to companies seeking to change their registered address.
